These Terms of Service ("Terms") govern your access to and use of the services provided by VerifyPage, Inc. ("VerifyPage", "we", "us", or "our"). By accessing or using our services, you agree to be bound by these Terms.
1. Acceptance
By creating an account or using our services, you represent that you are at least 18 years old and have the authority to enter into these Terms on behalf of yourself or the organization you represent. If you do not agree, do not use the services.
2. Account terms
You must provide accurate, complete, and current information when creating an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. Notify us immediately at security@verifypg.com of any unauthorized use.
3. Acceptable use
You may not use the services to:
- Violate any applicable law or regulation
- Infringe the intellectual property rights of others
- Transmit malware, ransomware, or other malicious code
- Send unsolicited commercial communications
- Probe, scan, or test the vulnerability of any system without authorization (see our Vulnerability Disclosure Policy in the Trust Center)
- Use the services to compete with VerifyPage
- Reverse engineer, decompile, or attempt to derive the source code of our services
- Resell, sublicense, or transfer the services to third parties without our written consent
4. Customer data and content
You retain all rights to the content you upload, share, or generate through the services ("Customer Content"). You grant VerifyPage a limited license to host, process, and display Customer Content solely as necessary to provide the services. We do not claim ownership of your content.
You are responsible for the legality and accuracy of Customer Content and for obtaining all necessary rights and consents from data subjects whose information you upload.
5. Fees and payment
Paid plans are billed according to the pricing in effect at the time of purchase. Annual subscriptions are billed in advance and non-refundable except as required by law. Monthly subscriptions auto-renew until cancelled. We reserve the right to modify pricing with at least 30 days' notice; price changes do not affect the current subscription term.
6. Term and termination
These Terms remain in effect until terminated. You may terminate your account at any time through account settings or by contacting support@verifypg.com. We may suspend or terminate your access for material breach of these Terms, fraud, or to comply with legal requirements. Upon termination, your data will be retained and then deleted according to our Privacy Policy.
7. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.
8. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, VerifyPage SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
9. Indemnification
You agree to indemnify and hold harmless VerifyPage and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of (a) your use of the services in violation of these Terms, (b) Customer Content, or (c) your violation of any law or the rights of any third party.
10. Confidentiality
Each party agrees to protect the other party's Confidential Information with the same degree of care it uses to protect its own confidential information, but in no event less than reasonable care. Confidential Information does not include information that is publicly available through no fault of the receiving party.
11. Governing law and dispute resolution
These Terms are governed by the laws of the Commonwealth of Massachusetts, USA, without regard to its conflict of laws principles. Any dispute arising out of or relating to these Terms shall be resolved by binding arbitration administered by JAMS under its Streamlined Arbitration Rules, with the arbitration to be conducted in Boston, Massachusetts.
12. General
These Terms, together with our Privacy Policy and any Data Processing Addendum, constitute the entire agreement between you and VerifyPage. We may modify these Terms by posting an updated version on this page; material changes will be communicated at least 30 days in advance. If any provision is held unenforceable, the remaining provisions remain in effect. You may not assign these Terms without our written consent; we may assign them in connection with a merger, acquisition, or sale of assets.
